This Content Upload Policy ("Policy") governs the submission, upload, transmission, and use of any content by users of the Imentiv Inc. platform ("Imentiv", "Imentiv AI", "we", "us" or "our"). This Policy forms an integral part of, and must be read together with, the Imentiv Terms of Service, Privacy Policy, Data Processing Agreement (DPA), and any applicable Supplemental Terms (collectively, the "Agreement"). Capitalized terms not defined in this Policy shall have the meanings assigned to them in the Terms of Service.

By uploading, submitting, or transmitting any content to the Imentiv AI Platform, you acknowledge that you have read, understood, and agree to be bound by this Policy.

1. SCOPE AND PURPOSE

This Policy establishes mandatory rules and standards governing:

  • the types of content that may be uploaded to the Imentiv AI Platform;
  • user responsibilities and representations in relation to uploaded content;
  • prohibited content and misuse;
  • Imentiv’s rights with respect to monitoring, moderation, suspension, and removal of content; and
  • legal and regulatory compliance obligations, including privacy, data protection, and biometric laws.

The purpose of this Policy is to ensure lawful, ethical, secure, and responsible use of the Imentiv AI Platform.

2. DEFINITION OF UPLOADED CONTENT

For the purposes of this Policy, "User Content" or "Customer Content" includes, without limitation:

  • text, prompts, scripts, documents, and data;
  • audio files, voice recordings, and sound clips;
  • images, photographs, videos, and live-streamed content;
  • facial images, facial movement data, voice data, or other biometric identifiers;
  • personal data, personal information, or sensitive personal data of any individual; and
  • any other materials uploaded, submitted, or transmitted by you, your Authorized Users, or your End Users to the Imentiv AI Platform.

3. OWNERSHIP OF CONTENT

3.1 User Ownership

As between you and Imentiv, you retain all right, title, and interest in and to your User Content, subject to the licenses granted under the Agreement.

3.2 No Imentiv Ownership Claim

Imentiv does not claim ownership over User Content or outputs generated from such content, except as expressly permitted under the Agreement.

4. USER REPRESENTATIONS AND WARRANTIES

By uploading or submitting User Content, you represent, warrant, and covenant that:

  • you own or have obtained all necessary rights, licenses, permissions, consents, and authorizations required to upload, process, and use the User Content on the Imentiv AI Platform;
  • where User Content includes personal data, biometric data, voice data, facial data, or likenesses of individuals, you have obtained all legally required notices, written consents, and releases from the relevant individuals;
  • your User Content, and Imentiv’s processing thereof, does not violate any applicable law, regulation, court order, or third-party right, including intellectual property, privacy, publicity, or data protection rights;
  • the User Content is accurate, lawful, and not misleading; and
  • you are solely responsible for compliance with all applicable privacy, data protection, and biometric laws in all relevant jurisdictions.

5. PROHIBITED CONTENT

You shall not upload, submit, transmit, or otherwise make available any User Content that:

  • is unlawful, illegal, or promotes or facilitates illegal activities;
  • infringes, misappropriates, or violates any intellectual property, privacy, publicity, contractual, or proprietary rights of any third party;
  • is defamatory, libelous, fraudulent, deceptive, or misleading;
  • is obscene, pornographic, sexually explicit, or exploits or endangers minors;
  • is violent, hateful, harassing, abusive, threatening, discriminatory, or otherwise objectionable;
  • impersonates any individual or entity, or misrepresents affiliation, sponsorship, or authorship;
  • includes images, videos, audio, or biometric data of individuals without their explicit and legally valid consent;
  • contains malware, viruses, worms, logic bombs, or other malicious or technologically harmful components;
  • is intended to bypass, disable, or interfere with the security, integrity, or operation of the Imentiv AI Platform; or
  • is otherwise inconsistent with the Agreement or applicable laws and regulations.

6. BIOMETRIC AND SENSITIVE DATA OBLIGATIONS

6.1 Biometric Data Responsibility

You acknowledge that the Imentiv AI Platform may process facial data, voice data, and other information that may be classified as biometric data under applicable laws.

6.2 Consent and Compliance

You are solely responsible for ensuring full compliance with all applicable biometric privacy and data protection laws, including obtaining explicit, informed, and written consent where required.

6.3 Indemnity

You agree that any failure to comply with biometric or data protection laws in connection with User Content may expose you to legal liability, for which you agree to indemnify Imentiv in accordance with the Agreement.

7. CONTENT INVOLVING MINORS OR STUDENTS

7.1 Restricted Uploads Involving Minors

User Content that includes, relates to, depicts, or is derived from individuals under the age of eighteen (18) years ("Minors"), including students, may be uploaded to the Imentiv AI Platform only where such upload is strictly lawful and compliant with this Policy, the Agreement, and all applicable child protection, education, privacy, and data protection laws.

7.2 Mandatory Consents and Authorizations

Where User Content involves Minors, you represent and warrant that you have obtained, and shall maintain on record:

  • verifiable, informed, and prior consent from the Minor’s parent or lawful guardian; and
  • where applicable, consent or authorization from the relevant educational institution, school authority, or governing body;
  • all notices, approvals, and permissions required under applicable laws, including but not limited to COPPA, FERPA, GDPR (and UK GDPR), the Digital Personal Data Protection Act, 2023 (India), and any other applicable child or student data protection regulations.

7.3 Prohibited Minor-Related Content

Without limiting Section 5 (Prohibited Content), you shall not upload any User Content involving Minors that:

  • is sexually explicit, exploitative, abusive, or harmful;
  • exposes Minors to reputational, psychological, or physical risk;
  • enables profiling, surveillance, behavioral tracking, or automated decision-making that is unlawful or inappropriate for Minors; or
  • is used for commercial advertising, promotion, or targeting of Minors, except where expressly permitted by applicable law.

7.4 Educational and Institutional Use

If you are uploading User Content relating to Minors in an educational or institutional context, you represent and warrant that:

  • such upload is solely for lawful educational, safety, or administrative purposes;
  • appropriate contractual, statutory, and policy-level safeguards are in place; and
  • you remain solely responsible for compliance with all obligations owed to students, parents, guardians, and regulators.

7.5 Imentiv’s Rights and Safeguards

Imentiv reserves the right, at its sole discretion, to:

  • request evidence of parental, guardian, or institutional consent;
  • restrict, suspend, or terminate processing of Minor-related User Content; or
  • remove such content entirely,

where Imentiv reasonably believes that such content poses legal, ethical, or safety risks, or violates this Policy or applicable law.

7.6 Enhanced Responsibility and Indemnity

You acknowledge that User Content involving Minors carries heightened legal and ethical obligations. You agree to fully indemnify and hold harmless Imentiv from any claims, penalties, damages, or regulatory actions arising out of or related to your failure to comply with this Section.

8. Use of Generated Outputs

You are solely responsible for how you use, distribute, display, or rely upon any outputs, reports, media files, or interactive media generated using your User Content. You must ensure that such use:

  • does not mislead others regarding authorship or origin;
  • does not violate third-party rights;
  • complies with applicable laws; and
  • includes disclosures required by law regarding AI-generated content.

9. MONITORING, MODERATION, AND ENFORCEMENT

9.1 No Obligation to Monitor

Imentiv does not proactively monitor or review User Content and assumes no responsibility for such content.

9.2 Right to Act

Notwithstanding the foregoing, Imentiv reserves the right, at its sole discretion and without prior notice, to:

  • remove, disable access to, or restrict any User Content;
  • suspend or terminate accounts or access to the platform; and
  • report content or activity to law enforcement or regulatory authorities,

where Imentiv reasonably believes that User Content violates this Policy, the Agreement, or applicable law, or poses legal, security, or reputational risk.

10. CONSEQUENCES OF VIOLATION

Any violation of this Policy constitutes a material breach of the Agreement and may result in one or more of the following actions:

  • immediate suspension or termination of access to the Imentiv AI Platform;
  • removal or deletion of User Content;
  • forfeiture of subscription fees without refund; and
  • legal action, including claims for damages or indemnification.

11. DISCLAIMER

Imentiv expressly disclaims all liability arising from or related to User Content, including any claims based on legality, accuracy, or use of such content. You acknowledge that all User Content is uploaded and used at your own risk.

12. POLICY UPDATES

Imentiv may revise or update this Content Upload Policy from time to time. Updated versions will be made available on the Imentiv AI Platform and will become effective in accordance with the Agreement. Continued use of the platform after such updates constitutes acceptance of the revised Policy.

13. GRIEVANCE REDRESSAL AND COMPLAINT MANAGEMENT

13.1 Right to Raise a Grievance

Any user who believes that any User Content, action, omission, or operation of the Imentiv AI Platform violates this Policy, the Agreement, or applicable law, or who is otherwise aggrieved in relation to content upload, processing, moderation, or removal, may submit a grievance or complaint to Imentiv.

13.2 Grievance Submission

Grievances must be submitted in writing and should include, to the extent reasonably practicable:

  • the name and contact details of the complainant;
  • a clear description of the grievance or complaint;
  • identification of the specific content, account, or activity giving rise to the grievance; and
  • any supporting documents or information relevant to the complaint.

13.4 Acknowledgement and Resolution

Imentiv shall use commercially reasonable efforts to acknowledge receipt of a grievance within a reasonable timeframe and to investigate and resolve the grievance in good faith. Resolution timelines may vary depending on the nature, complexity, and legal or technical requirements of the grievance.

13.5 Interim Measures

Where necessary to prevent harm, comply with legal obligations, or mitigate risk, Imentiv may take interim measures during the pendency of a grievance, including temporary suspension of access, restriction of content, or removal of User Content.

13.6 No Waiver of Rights

Submission of a grievance under this Policy does not waive any rights or remedies available to either the user or Imentiv under the Agreement or applicable law.
